Please read these Terms & Conditions carefully before using our website or placing an order. By accessing this website or purchasing products, you agree to be bound by these terms. If you do not agree, please do not use the website.

1. Definitions

"Company", "we", "us", "our" — BOSH Group Ltd, a company registered in England and Wales (company no. 10893235).

"Website" — the website at boshgroup.co.uk and any associated subdomains.

"Customer", "you", "your" — any business or individual accessing the Website or placing an order.

"Products" — hardware, equipment, and related items listed on the Website.

"Order" — a request to purchase one or more Products submitted by a Customer.

"Contract" — the agreement formed between us and you upon our acceptance of your Order.

2. Acceptance of Terms

By using this Website, submitting an enquiry, or placing an Order, you confirm that:

  • You are acting on behalf of a business or as a consumer who has read and accepts these Terms
  • You are at least 18 years old
  • The information you provide is accurate and complete

These Terms apply to all business-to-business (B2B) transactions. Where a Customer is a consumer (an individual acting outside the course of business), additional statutory rights under the Consumer Rights Act 2015 may apply.

3. Products & Pricing

All Products are subject to availability. We reserve the right to withdraw or modify any Product listing at any time without notice.

Prices displayed on the Website are in Pounds Sterling (GBP) and are exclusive of VAT unless stated otherwise. VAT will be added at the applicable rate at the time of invoicing.

Where a product is listed as Price on Application (POA), no price is displayed and a quote will be provided upon request. POA pricing does not constitute an offer.

We make every effort to ensure that product descriptions, specifications, and images are accurate. However, we do not warrant that descriptions are error-free. Minor variations in specification or appearance may occur, particularly for custom or configured products.

4. Orders & Contract Formation

Placing an Order on our Website constitutes an offer to purchase. No Contract is formed until we send you a written order confirmation by email. We reserve the right to decline any Order for any reason, including pricing errors, stock unavailability, or concerns about the order.

For custom build enquiries and quote requests, a Contract is formed only when you accept a written quotation from us and we confirm acceptance in writing.

If we are unable to fulfil your Order, we will notify you promptly and any payment taken will be refunded in full.

5. Payment

We accept payment by the following methods:

  • Card payment — processed securely via Stripe. We do not store card details on our systems.
  • Bank transfer — bank details will be provided on your invoice. Payment is due within 30 days of the invoice date unless otherwise agreed in writing.

For business accounts, credit terms may be agreed on a case-by-case basis. Late payments may incur interest under the Late Payment of Commercial Debts (Interest) Act 1998.

Title and ownership of Products does not pass to you until payment is received in full.

6. Delivery

Estimated delivery times are provided as a guide only and do not form part of the Contract. We are not liable for delays caused by circumstances outside our reasonable control, including supply chain disruption, courier delays, or customs clearance.

Delivery charges, if applicable, will be shown on your quotation or invoice. We deliver to addresses in the United Kingdom and France; delivery to other countries is available by arrangement.

Risk in the Products passes to you upon delivery. You must inspect goods on receipt and notify us of any visible damage or discrepancy within 5 working days.

7. Returns & Cancellations

Business Customers (B2B)

Business customers do not have a statutory right to return goods. Returns may be accepted at our discretion. Please contact us within 14 days of delivery if you wish to discuss a return. Goods must be in original, unused condition and packaging. A restocking fee of up to 20% may apply.

Custom and Configured Products

Bespoke, custom-built, or specially configured products cannot be returned unless they arrive faulty or do not conform to the agreed specification.

Faulty or Incorrect Goods

If your order arrives faulty, damaged, or incorrect, please contact us within 5 working days of receipt. We will arrange a replacement or refund at no additional cost to you.

8. Warranties

All Products are supplied with the manufacturer's warranty, which varies by product and brand. Warranty details will be provided with your order documentation or are available on request.

Where BOSH Group acts as an intermediary between the Customer and manufacturer, warranty claims must be made directly to the manufacturer unless otherwise stated.

We do not offer any additional warranty beyond that provided by the manufacturer, except where this has been expressly agreed in writing.

9. Limitation of Liability

To the fullest extent permitted by law:

  • Our total liability to you in connection with any Contract shall not exceed the amount paid by you for the Products in question.
  • We shall not be liable for any indirect, consequential, or special losses, including loss of profit, loss of data, or business interruption.
  • We are not liable for delays or failures arising from circumstances beyond our reasonable control (force majeure).

Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded under applicable law.

10. Intellectual Property

All content on this Website — including text, images, logos, graphics, and software — is the property of BOSH Group Ltd or its licensors and is protected by copyright and intellectual property law.

You may not copy, reproduce, republish, or distribute any content from this Website without our prior written consent, except for personal, non-commercial use.

11. Customer Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately if you suspect unauthorised access.

We reserve the right to suspend or terminate accounts that are used fraudulently, abusively, or in breach of these Terms.

12. Acceptable Use

You agree not to use this Website to:

  • Submit false, misleading, or fraudulent information
  • Attempt to gain unauthorised access to our systems or data
  • Transmit any malicious code, viruses, or harmful material
  • Scrape, harvest, or systematically extract data from the Website
  • Use the Website in any way that breaches applicable law or regulation

13. Governing Law & Disputes

These Terms and any Contract formed under them are governed by the laws of England and Wales. Any dispute arising from or related to these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
